Terms of Service

These Terms of Service (“Terms”) govern your use of the Prospectr platform at prospectr.app(“the Service”), operated by Prospectr (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Description of the Service

Prospectr is an AI-powered prospecting platform that helps marketing professionals and agencies discover businesses, analyse their online presence, and reach out to potential clients. The Service includes business search, AI-powered website audits, email outreach tools, and related features.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By creating an account, you represent that you meet these requirements.

3. Account Responsibilities

When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration and keep it up to date
  • Maintain the security and confidentiality of your password and not share your login credentials with others
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately at tombeenham@gmail.com if you suspect unauthorised access to your account

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation
  • Send spam, unsolicited bulk email, or messages that violate anti-spam laws
  • Harass, threaten, defame, or intimidate any person
  • Distribute malware, viruses, or any harmful code
  • Scrape, crawl, or extract data from the Service by automated means beyond normal use of the platform
  • Impersonate another person or entity, or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorised access to the Service, other accounts, or our systems
  • Use the Service for any illegal, fraudulent, or deceptive purpose

We reserve the right to investigate and take appropriate action against anyone who violates these rules, including suspending or terminating their account.

5. Email Sending Rules

If you use Prospectr's email sending features (including Gmail integration), you acknowledge and agree that:

  • You are solely responsible for the content, accuracy, and legality of every email you send through the Service
  • You must comply with all applicable anti-spam and electronic communication laws, including but not limited to the CAN-SPAM Act (US), the Privacy and Electronic Communications Regulations (UK), and GDPR (EU) where applicable
  • You must not send unsolicited bulk email or messages to recipients who have not consented to receive them, where consent is required by law
  • You must include accurate sender identification and honour unsubscribe requests promptly
  • You must not use the Service to send emails containing misleading subject lines, false headers, or deceptive content

Violation of these email rules may result in immediate suspension or termination of your account and disconnection of your Gmail integration.

6. Intellectual Property

Our Property

The Prospectr platform, including its software, design, branding, content, and all related intellectual property, is owned by us and protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written permission.

Your Data

You retain ownership of all data you upload or create within Prospectr, including your searches, saved prospects, email templates, and audit results. By using the Service, you grant us a limited licence to host, store, and process your data solely to provide and improve the Service.

7. Payment Terms

  • Access to Prospectr requires a paid subscription, processed through Whop
  • Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan you choose)
  • All fees are non-refundable unless required by applicable law or stated otherwise in our refund policy
  • We reserve the right to change pricing with reasonable notice. Price changes will not apply to your current billing period
  • If payment fails, we may suspend your access to the Service until payment is resolved
  • You can cancel your subscription at any time through Whop. Upon cancellation, you will retain access until the end of your current billing period

8. AI-Generated Content

Prospectr uses artificial intelligence to generate business audits, recommendations, and other analysis. While we strive for accuracy, AI-generated content is provided for informational purposes only and should not be treated as professional advice. You are responsible for reviewing and verifying any AI-generated content before relying on it or sharing it with others.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • We do not warrant that the Service will be uninterrupted, error-free, or secure at all times
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service
  • Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless Prospectr, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including any claims related to emails you send through the platform.

11. Termination

  • By you: You may cancel your account at any time. Upon cancellation, your right to use the Service ends at the close of your current billing period. You can request deletion of your data by contacting us.
  • By us: We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in abusive or fraudulent behaviour, or used the Service in a way that could harm other users or the platform.

Upon termination, your right to access the Service ceases immediately. Sections of these Terms that by their nature should survive termination (such as intellectual property, limitation of liability, and indemnification) will remain in effect.

12. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you via email or by posting a notice on the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
